Why institutions are looking at tokenization now

Institutional investors are testing tokenization because real estate interests remain difficult to divide, transfer, and distribute across investor groups. By mid-2024, about 12% of real estate companies had implemented tokenization, while another 46% were running pilots. Surveys also found that about 80% of high-net-worth investors and two-thirds of institutional investors were investing in or considering tokenized assets.

Most transactions use an SPV because blockchain records do not replace land registries or property deeds. The SPV holds legal title, and investors receive tokens representing shares, membership interests, or contractual economic rights in that entity. Operators must keep the blockchain holder record synchronized with the SPV’s legally recognized register, which creates an ongoing reconciliation duty. The
SPV structure lets issuers divide ownership and automate transfer controls, but securities law, custody, governance, and property law still govern the investment.

Fractional ownership of commercial property

Commercial property fractionalization divides financial interests in the property-owning SPV. The SPV retains the deed, while investors receive tokens representing shares, membership interests, or contractual economic rights. An issuer can tokenize a defined portion of the SPV equity and keep the remaining interest with the sponsor or existing investors.

The governing documents determine each token holder’s rights to rental income, sale proceeds, voting, and loss allocation. The token records who holds an interest, but it does not create those rights by itself. Creating liquidity for illiquid holdings

Tokenization can make ownership interests easier to transfer and administer, but it cannot create buyer demand. A fund can divide an SPV interest into smaller units, update its cap table digitally, and process partial redemptions when the governing documents permit them. These capabilities provide operational liquidity by reducing the administrative work attached to ownership changes.

Compliant secondary transfers still follow securities rules. After a lock-up expires, the seller and buyer must use approved wallets, and the token contract can reject a buyer who has not passed identity and eligibility checks. Security-token standards can
enforce wallet whitelists and transfer restrictions directly within each transaction.

Trading usually takes place through a regulated alternative trading system in the United States or a multilateral trading facility in Europe. Permissionless exchanges generally cannot verify investor status or apply jurisdiction-specific restrictions. A regulated venue can perform those checks, but access to a venue does not guarantee an active market.

Market liquidity remains limited because eligible buyers may still be scarce. Each property also requires asset-specific due diligence, which makes tokenized interests harder to trade than standardized public securities. An investor may gain a simpler transfer process while still waiting weeks or months for a suitable counterparty.

Fund operators should therefore assess operational liquidity and market liquidity separately. Operational questions cover cap table administration, settlement, and partial exits. Nascent secondary venues may improve transferability, but most tokenized real estate still behaves like a private-market investment.

Cross-border property investment

Tokenization can widen cross-border distribution by standardizing investor onboarding, ownership records, and transfer checks. Each investor still completes KYC and any required accreditation review before receiving tokens in a whitelisted wallet. Smart contracts can then block transfers to ineligible investors or restricted jurisdictions.

Cross-border issuance usually combines property-level ownership with a separate holding vehicle. A Luxembourg or Cayman SPV may simplify administration for an international investor base, but its domicile does not override securities laws where investors reside. A U.S. offering might use Reg D for accredited domestic investors and Reg S for offshore investors. Local foreign-ownership limits and tax rules still apply where the property sits.

Regional frameworks determine which investors and trading venues can participate. Dubai’s VARA rulebook addresses RWA issuance and secondary trading, while Brazil’s CVM sandbox has supervised complete token issuance and redemption cycles. In the EU, real estate tokens that qualify as transferable securities generally fall under MiFID II rather than MiCA. These
jurisdictional mechanics require issuers to map each offering before configuring wallet and transfer restrictions.

Zoniqx and StegX describe their partnership as enabling compliant cross-border transactions and wider global property access. However, the available

Fund structuring for real estate-backed vehicles

A fund operator must choose the legal fund structure before designing token issuance and transfer rules. Because tokenized fund interests remain securities, blockchain records do not replace exemptions under the Investment Company Act, Securities Act, or Investment Advisers Act. A Reg D or Reg S offering exemption governs distribution, while Section 3(c)(1) or 3(c)(7) determines whether the vehicle can avoid investment company registration.

A 3(c)(1) fund generally caps beneficial owners at 100, which can conflict with fractional distribution. Smaller minimum subscriptions may attract more investors, but each eligible token holder can consume a place under the cap. Transfers also require continuous holder counting, and feeder vehicles may trigger look-through analysis. Smart contracts can block a transfer when the fund reaches its limit, but legal records must remain authoritative.

A 3(c)(7) fund removes the numerical cap but limits ownership to qualified purchasers. Individuals generally need at least $5 million in investments, while certain entities need at least $25 million. These
fund exemptions and eligibility thresholds make 3(c)(7) better suited to broad institutional distribution, although the higher qualification standard narrows the buyer pool. Token controls can verify wallet eligibility and restrict secondary transfers, but they cannot convert an ineligible investor into a qualified purchaser.

The manager must evaluate adviser registration separately. The federal private fund adviser exemption may cover an adviser that manages only private funds and has less than $150 million in private fund assets under management in the United States. Tokenization can increase subscriptions and secondary transfers without changing that threshold, so the operator must monitor assets, investor status, and reporting obligations across both on-chain and legal records.

Custody, compliance, and transfer restrictions in practice

A compliant onboarding flow connects investor identity to an approved wallet before issuance. The investor completes KYC and anti-money-laundering checks, and the operator verifies accreditation or jurisdictional eligibility. After the investor signs subscription documents and funds clear, the issuer whitelists the wallet and mints the tokens. Secondary transfers follow the same eligibility rules.

ERC-1400 and ERC-3643 style contracts can enforce wallet whitelists, holding periods, and geographic restrictions. The operator must also define who can freeze tokens, recover assets after lost keys, update investor status, and approve exceptions. Smart contracts enforce coded rules, but compliance staff must keep those rules current when investor circumstances or regulations change.

Custody covers both digital assets and legal rights. A qualified wallet custodian can protect private keys, but it cannot make a weak SPV structure sound.
