Why family offices are looking at tokenization now

Family offices consider tokenization when ownership becomes difficult to administer across generations and borders. A trust can support either ownership tokens or rights tokens. An ownership token records a direct beneficial interest under the trust instrument. A rights token represents contractual claims such as distributions, redemption, or voting rights.
The governing instrument determines whether those rights are enforceable. For example, a principal could transfer income rights to the next generation while retaining specified governance powers through the trust. The token records the divided interests, but the trust creates them.

A digital register can make generational transfers easier to administer when beneficiaries live in different places or inherit at different times. Each approved wallet can correspond to an identified beneficiary, and transfer rules can require trustee consent before the register changes. Distribution and voting notices can then follow the same verified ownership record.

LLC-linked tokens often fail to provide that continuity. A wallet transfer does not automatically admit the recipient as an LLC member unless the operating agreement and applicable law recognize the on-chain event. The issuer may then maintain one ownership list while family members trade tokens against another, creating gaps in notices, votes, and consents. A workable succession structure names one authoritative register and requires every token transfer to update the legally recognized beneficiary record.

Cross-border distribution to dispersed family members

A tokenized trust or SPV can give dispersed family members interests in one holding structure, which may avoid creating a separate local entity for every beneficiary. The governing instrument defines each holder’s economic and governance rights. A permissioned token records who holds those rights and allows approved transfers between wallets. Cash distributions still use conventional banking rails unless the structure supports regulated digital money.

Enforceability determines whether the token transfer changes legal ownership. A token carries only the rights granted by the trust instrument or SPV agreement. In the United States, the amended UCC Article 12 provides a framework for establishing control over certain electronic records, while trust structures can connect on-chain interests to assets held by a fiduciary.

Cross-border transfers therefore require jurisdiction-specific rules. An administrator verifies each recipient’s identity and eligibility before whitelisting a wallet. Investors then receive tokens representing contractual rights in that vehicle rather than direct title to the underlying asset. The governing documents must define distributions, voting rights, redemption terms, and sale proceeds.

Fractional interests may widen the buyer pool, but issuance alone does not create secondary liquidity. Private placements can impose holding periods, accreditation requirements, and resale limits. Smart contracts can restrict transfers to approved wallets, while an administrator maintains the authoritative ownership register and completes identity checks. Under Reg D and Reg S structures, those controls must follow the instrument when ownership changes, rather than operating as optional platform settings (

Legal records must recognize each token transfer for the transaction to change ownership. An SPV operating agreement may need to treat the digital register as its official ownership record and specify how a buyer becomes a member or rights holder. Without those provisions, a wallet transfer can occur while the legal cap table remains unchanged.

A family office should therefore treat tokenization as infrastructure for controlled fractional sales, not as a substitute for market demand. Buyers still assess valuation, governance, information rights, and exit options. A token can reduce settlement and ownership-administration friction, but it cannot make an unattractive or heavily restricted asset trade like a public stock.

Multi-jurisdictional compliance when family and assets span borders

Cross-border tokenization requires one eligibility framework that can apply several legal regimes to each transfer. A family office must verify each holder’s identity, residence, investor status, and transfer eligibility. Reg D and Reg S illustrate how the controls work. Local counsel must also assess jurisdictions that treat digital records, trusts, or tokenized interests differently. Software cannot make an otherwise invalid transfer enforceable.

Cross-border custody requires a named custodian of record and a clear division of responsibilities. The family office must determine who controls the token keys, who holds legal title to the underlying asset, and which register controls when records conflict. If the issuing entity fails, holders may retain unsecured equity or contractual claims, while properly segregated trust property generally remains outside the trustee’s receivership estate.
Trust-company structures can address these problems by connecting legal title, fiduciary administration, and the electronic register. Chartering and supervision make them more expensive than plain SPVs, so cost still affects the choice.

Transfer restrictions require both software enforcement and legal authority. The smart contract can permit transfers only between approved wallets, block transfers during a required holding period, and pause transactions when a beneficiary loses eligibility. However, the trust instrument or operating agreement must authorize those controls and state that compliant on-chain entries affect ownership or beneficiary records. Without that language, software may block a transaction without establishing which record governs the legal interest.

Custody arrangements depend on the token’s legal classification and the intermediaries involved. Broker-dealers holding customer digital-asset securities must address Rule 15c3-3 requirements for possession or control and customer reserves. After the SEC withdrew its 2019 joint staff statement in May 2025, firms have had to assess custody arrangements case by case rather than rely on a broad safe harbor.
